Owlo Terms of Service
Last Updated: August 22, 2026
These Terms of Service (the “Terms”) are a legally binding agreement between you and JLM Enterprises LLC, doing business as Owlo (“Owlo”, “we,” “us,” or “our”). These Terms govern your access to and use of the Owlo websites, applications, software, and related services (collectively, the “Service”).
Please read these Terms carefully. By creating an account, purchasing a subscription, or otherwise accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not access or use the Service.
If you use the Service on behalf of a school, university, business, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes that organization.
1. The Service
Owlo is an AI-assisted learning platform. Depending on your plan and the features available to you, the Service may allow you to upload or connect learning materials, ask questions about those materials, and generate flashcards, quizzes, notes, summaries, outlines, audio, and other study aids.
Owlo is a study aid. It does not replace your own judgment, instruction from a qualified educator, or professional advice. Features may be added, changed, suspended, or discontinued as the Service evolves.
2. Eligibility and Minors
You must be at least 13 years old to create an account or use the Service. The Service is not directed to children under 13, and children under 13 may not create an account, access the Service, or provide personal information to Owlo.
If you are under the age of legal majority where you live, you may use the Service only with the permission and supervision of a parent or legal guardian. Your parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use of the Service.
If we learn that a child under 13 has created an account or provided personal information to Owlo, we may suspend or delete the account and take reasonable steps to delete the information as required by law. If you believe a child under 13 has provided personal information to us, contact support@owloapp.com.
Different or additional terms may apply when Owlo is provided through a school or other educational institution under a separate written agreement. Unless Owlo expressly launches a legally compliant service for younger students under such an agreement, the minimum age remains 13.
3. Accounts and Account Security
You agree to provide accurate, current, and complete account information and to keep it updated. You are responsible for safeguarding your login credentials and for activity occurring through your account. You may not share credentials, sell or transfer your account, or allow another person to impersonate you.
Notify us promptly at support@owloapp.com if you suspect unauthorized access to your account. We are not responsible for losses caused by your failure to protect your credentials, except to the extent required by law.
4. Acceptable Use
You may use the Service only in compliance with these Terms and applicable law. You may not, and may not help anyone else to:
- upload, submit, or use content that you do not have the right to use;
- infringe or violate another person’s intellectual-property, privacy, publicity, contractual, or other rights;
- use the Service to cheat, misrepresent work as your own, or violate an academic institution’s rules or honor code;
- generate, distribute, or facilitate unlawful, fraudulent, threatening, harassing, hateful, sexually exploitative, or otherwise harmful content;
- upload malware or other harmful code, or interfere with the security, integrity, availability, or operation of the Service;
- access another person’s account or collect information about others without authorization;
- probe, scan, or test vulnerabilities, bypass access or usage restrictions, or circumvent safeguards;
- reverse engineer, decompile, disassemble, copy, frame, scrape, or create derivative works from the Service, except where applicable law expressly permits it;
- use automated means to access the Service in a manner that exceeds documented interfaces or reasonable usage limits;
- use the Service or its outputs to develop, train, or improve a competing artificial-intelligence model or service without our written permission;
- resell, sublicense, or commercially exploit the Service unless we have authorized it in writing; or
- misrepresent AI-generated material as human-generated where disclosure is required by law, institutional policy, or the context in which it is used.
We may investigate suspected violations and remove content, restrict features, suspend accounts, or cooperate with lawful requests when reasonably necessary to protect Owlo, our users, or others.
5. Your Content
5.1 Ownership
You retain any ownership rights you have in documents, text, images, audio, prompts, questions, and other materials that you submit to the Service (“User Content”). Owlo does not claim ownership of your User Content.
5.2 License to operate the Service
You grant Owlo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify, and otherwise use User Content only as reasonably necessary to:
- operate, maintain, secure, and provide the Service and requested features;
- create outputs at your direction;
- prevent fraud, misuse, and security incidents;
- provide support and troubleshoot technical issues; and
- comply with law and enforce these Terms.
This license lasts only for as long as reasonably necessary for those purposes, subject to our Privacy Policy, backup and retention practices, and legal obligations.
5.3 No model training using your content
Owlo does not use your User Content, prompts, or Outputs to train, fine-tune, or improve Owlo’s or any third party’s artificial-intelligence or machine-learning models. We require service providers that process User Content on our behalf not to use that content to train their general-purpose models, subject to the terms of our agreements with those providers.
We may use operational and technical information that does not contain User Content—such as aggregated usage statistics, performance measurements, error reports, and user feedback—to maintain, evaluate, secure, and improve the Service. We may also review specific User Content when you ask us to provide support or when reasonably necessary to investigate abuse, security incidents, or violations of these Terms. These activities do not authorize model training using your User Content.
5.4 Your responsibilities
You represent and warrant that you have all rights and permissions needed to submit User Content and allow Owlo to process it as described in these Terms and our Privacy Policy. Do not upload sensitive personal information, confidential records, protected health information, financial-account credentials, or other material that you are not authorized to disclose.
6. AI-Generated Outputs
The Service may generate answers, summaries, flashcards, quizzes, notes, explanations, citations, and other material based on your prompts or User Content (“Outputs”). Artificial-intelligence systems can produce incomplete, incorrect, misleading, outdated, offensive, or fabricated information. Outputs may omit context or misidentify a source or citation.
You are responsible for reviewing and verifying Outputs before using or sharing them. Do not rely on Outputs as the sole source of truth or as a substitute for qualified academic, medical, legal, financial, or other professional advice. Owlo does not guarantee that use of the Service will improve grades, test scores, academic performance, or any other outcome.
As between you and Owlo, and to the extent permitted by law, you may use Outputs generated for you for lawful purposes, subject to these Terms and any third-party rights. Because AI systems may generate similar material for different users, Outputs may not be unique, and Owlo does not represent that an Output is eligible for copyright or other intellectual-property protection.
7. Academic Integrity
Owlo is intended to support learning, not to replace it. You are responsible for understanding and following the academic-integrity, citation, exam, and acceptable-use rules of your school, instructor, employer, or other institution.
You may not use Owlo during an examination or graded assessment when outside assistance or AI tools are prohibited. You may not submit an Output as your original work when doing so would be misleading or violate applicable rules. Owlo is not responsible for disciplinary action, lost credit, academic consequences, or other outcomes resulting from your use of the Service.
8. Our Intellectual Property
The Service—including its software, interfaces, visual design, features, documentation, trademarks, logos, and other Owlo materials—is owned by Owlo or its licensors and is protected by intellectual-property and other laws. Except for the limited right to access and use the Service under these Terms, no rights are granted to you.
Subject to your compliance with these Terms, Owlo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for its intended educational purposes during the applicable subscription or access period.
If you provide suggestions, ideas, or other feedback about Owlo, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation to you.
9. Third-Party Services and Materials
Owlo may rely on or connect with third-party services, including artificial-intelligence model providers, cloud-hosting providers, payment processors, authentication services, content sources, and external websites. Third-party services may be governed by their own terms and privacy practices.
We do not control and are not responsible for third-party services, their availability, or their content. Your use of third-party services is at your own risk and may require acceptance of additional terms. References or links to third parties do not imply endorsement.
10. Subscriptions, Billing, and Cancellation
10.1 Paid plans
Some features require a paid subscription. Prices, billing intervals, included features, and applicable taxes will be disclosed before purchase. By purchasing a subscription, you authorize Owlo and its payment processor to charge your selected payment method for the amounts disclosed at checkout.
10.2 Automatic renewal
Unless stated otherwise at checkout, subscriptions automatically renew for successive periods of the same length at the then-current price, plus applicable taxes, until canceled. Before you subscribe, we will disclose the renewal terms and obtain any consent required by law.
10.3 Cancellation
You may cancel your subscription at any time through our Subscription and Account Management page or through any other cancellation method disclosed at checkout. Cancellation stops future renewals but does not retroactively refund charges. Unless otherwise disclosed or required by law, you will retain access to paid features through the end of the current billing period.
10.4 Trials and promotions
If a free or discounted trial converts to a paid subscription, the duration of the trial and the price and timing of the first charge will be disclosed when you enroll. Cancel before the disclosed deadline to avoid the charge. Promotional offers may be subject to additional terms.
10.5 Refunds and price changes
Except where required by law or expressly stated in a written refund policy, payments are non-refundable and we do not provide credits for partially used billing periods. We may change subscription prices or material plan features prospectively. We will provide advance notice when required by law, and any price change will take effect no earlier than your next renewal after the notice period.
If you purchased through an app store or other third party, that provider’s billing, cancellation, and refund rules may apply.
11. Privacy
Our collection, use, retention, and disclosure of personal information are described in our Privacy Policy. The Privacy Policy is separate from these Terms, but you should read it before using the Service.
If a school or organization provides your account, that organization may control or access certain account information, learning materials, and activity in accordance with its agreement with Owlo and applicable law. Contact the organization if you have questions about its practices.
12. Copyright Complaints
Owlo respects intellectual-property rights. If you believe material available through the Service infringes your copyright, send a written notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated copyright agent:
Copyright Agent
JLM Enterprises LLC, doing business as Owlo
13771 Denison St, Suite L
Poway, California 92064
Email: support@owloapp.com
We may remove or restrict access to allegedly infringing material and, where appropriate, terminate repeat infringers. Owlo should register and maintain its designated agent information with the U.S. Copyright Office before relying on the DMCA safe-harbor process.
13. Service Changes, Availability, and Beta Features
We may modify, update, suspend, or discontinue any part of the Service. We do not guarantee that the Service or any feature, content, or User Content will always be available, uninterrupted, secure, or error-free.
Some features may be identified as beta, preview, experimental, or early access. Those features may be incomplete, change without notice, and contain more errors than generally available features. You use them at your own risk.
The Service is not a data-storage or backup service. You should retain independent copies of important User Content and Outputs.
14. Suspension and Termination
You may stop using the Service at any time. You may request account deletion through our Subscription and Account Management page or by contacting support@owloapp.com.
We may suspend, limit, or terminate your access if we reasonably believe that you violated these Terms, created risk or legal exposure, failed to pay amounts due, used the Service fraudulently, or if suspension is necessary to protect the Service or others. When reasonable, we will provide notice and an opportunity to address the issue.
Upon termination, your right to use the Service ends. Sections that by their nature should survive—including provisions concerning ownership, payment obligations, disclaimers, limitations of liability, indemnification, disputes, and general terms—will survive. Treatment of User Content and personal information after termination is governed by our Privacy Policy and applicable law.
15. Disclaimers
To the fullest extent permitted by law, the Service and all Outputs are provided “as is” and “as available.” Owlo and its affiliates, licensors, and service providers disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.
We do not warrant that the Service will meet your requirements, that Outputs will be accurate or suitable for a particular academic purpose, that citations or sources will be complete or correct, or that the Service will be uninterrupted or free of harmful components. Some jurisdictions do not allow certain warranty disclaimers, so portions of this section may not apply to you.
16. Limitation of Liability
To the fullest extent permitted by law, Owlo and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, User Content, academic credit, or other intangible losses arising out of or relating to the Service or these Terms, even if advised that such damages are possible.
To the fullest extent permitted by law, the total aggregate liability of Owlo and the parties listed above for all claims arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Owlo for the Service during the 12 months before the event giving rise to the claim; or (b) US$100.
These limitations do not apply to liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Owlo and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising out of or relating to: (a) your User Content; (b) your violation of these Terms or applicable law; (c) your infringement or violation of another person’s rights; or (d) your misuse of the Service.
This section does not require an individual consumer to indemnify Owlo for Owlo’s own unlawful conduct and applies only to the extent enforceable under applicable law.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent another jurisdiction’s consumer-protection laws must apply.
Before filing a formal claim, you and Owlo agree to try in good faith to resolve the dispute informally. Send a written description of the dispute and the relief requested to support@owloapp.com. We will send notices to the email address associated with your account. If the dispute is not resolved within 30 days after notice is received, either party may pursue available legal remedies.
Except where applicable law permits you to file elsewhere, legal proceedings arising from these Terms or the Service will be brought exclusively in the state or federal courts located in San Diego County, California, and you and Owlo consent to those courts’ jurisdiction and venue.
Nothing in this section prevents either party from seeking relief in small-claims court when eligible or seeking urgent injunctive relief to protect intellectual-property or data-security rights.
19. Changes to These Terms
We may update these Terms to reflect changes to the Service, our practices, or applicable law. We will post the revised Terms and update the “Last updated” date. If changes materially affect your rights or obligations, we will provide additional notice as required by law, such as by email or an in-product message.
Changes will apply prospectively from their stated effective date. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms where permitted by law. If you do not agree to an update, you must stop using the Service and cancel any subscription.
20. General Terms
These Terms, together with any additional terms expressly incorporated into them, form the entire agreement between you and Owlo regarding the Service. If there is a conflict between these Terms and a separate written agreement between Owlo and an organization providing your account, the separate agreement controls for that organization’s use.
Our failure to enforce a provision is not a waiver. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.
Headings are for convenience only. The words “including” and “such as” mean “including without limitation.” Electronic notices and agreements satisfy any legal requirement that communications be in writing, to the extent permitted by law.
